Why incorporate in Nevada?
Corporation laws in Nevada have many advantages over similar laws of other states. Some of the
advantages are as follows:
- No taxation on shares of either residence or non-residence
- No corporate income tax
- No succession, stamp, franchise, license or transfer taxes
- No annual reports
- Filing fees of new or amended articles are nominal
- Stockholders and directors need not be residents of Nevada and meetings may be held outside
of Nevada
- No initial capital is required
- Stockholders are not liable for corporate debt
- Legal organization of corporations may be completed in one day
Many states permit the creation of limited liability companies under their state law. Generally,
a limited liability company is treated as a partnership. A typical limited liability company will provide for centralized
management. A typical limited liability company will limit the liability of members for debts of the company.
The Service has generally ruled that limited liability companies in specified states are to be classified as partnerships
for tax purposes.
FORMING AN LLC (LIMITED LIABILITY COMPANY)
- One or more persons may form an LLC
- Articles of Organization must be filed with Secretary of State, but articles must list one or
more managers or if there are no managers two or more members.
- Certificate of Acceptance of Appointment of Resident Agent must be filed with articles.
- A signer of the Articles of Organization or a manager designated in the articles does not automatically
become a member of the company.
- An Operating Agreement must be completed.
- Instead of a list of officers being filed with Secretary of State, a "list of managers"
(members) is filed with Secretary of State annually.
- There is no issuance of stock however, there is distribution of capital or infusion of capital
by LLC's members.
- A member in an LLC does not have the protection that an officer in a corporation has in that
an LLC resembles a Partnership.
